1. Acceptance of Terms
By using Keylight, you agree to these Terms of Service. If you're using Keylight on behalf of an organization, you confirm you have the authority to bind that organization. If you don't agree, don't use the Service.
2. Description of Service
Keylight is a software licensing platform for developers. We provide license creation, offline verification, and management tools through an API, a web dashboard, and documentation.
3. Account Registration
To use the Service, you need an account. You agree to:
- Provide accurate and complete information
- Keep your credentials secure
- Tell us immediately about any unauthorized access
- Take responsibility for everything that happens under your account
4. Subscriptions and Billing
Plans
We offer a Free plan and paid plans (Starter, Pro, Enterprise). See our Pricing page for details. Prices and features are subject to change with notice.
Billing
Paid subscriptions are billed in advance, monthly or annually. All fees are non-refundable except where required by law.
Plan Changes
You can upgrade or downgrade anytime. Upgrades take effect immediately — you pay the prorated difference. Downgrades take effect at the end of your current billing cycle.
Cancellation
You can cancel anytime. Cancellation takes effect at the end of your billing cycle, and your account reverts to the Free plan. We may also suspend or terminate your account for violations of these Terms.
5. Acceptable Use
Prohibited Activities
You agree not to:
- Use the Service for anything illegal
- Circumvent license verification or manipulate license data
- Distribute malware, spam, or harmful content through the Service
- Abuse the API in a way that harms other users
- Resell, sublicense, or redistribute the Service itself
- Reverse engineer or extract the source code
Enforcement
We may suspend or terminate accounts that violate these rules at our discretion.
6. API Usage and Rate Limits
We enforce rate limits that vary by plan. These exist to keep the Service fast and fair for everyone. We may adjust limits or throttle excessive usage.
7. Intellectual Property
Our Property
Keylight and its content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws.
Your Property
You retain ownership of:
- Your software and products
- Your license data, customer information, and usage data
- Your trademarks, logos, and branding
License to Us
By using the Service, you grant us a limited license to use your data only as needed to provide the Service.
8. Third-Party Services
The Service integrates with third parties like Stripe for payments. Your use of those services is governed by their terms. We're not responsible for their availability or practices.
9. Service Availability
We aim for high availability but don't guarantee uninterrupted access. Scheduled maintenance happens occasionally with advance notice where possible. Pro and Enterprise plans include an uptime SLA.
10. Limitation of Liability
Excluded Damages
To the fullest extent allowed by law, Keylight is not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, data, use, or goodwill — arising from your use of the Service.
Liability Cap
Our total liability for any claim is capped at what you paid us in the 12 months before the claim. For Free plan users, the cap is $50.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available." We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be error-free or uninterrupted.
12. Indemnification
You agree to indemnify and hold harmless Keylight and its team from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
We may suspend or terminate your account immediately if you breach these Terms. When termination happens, your right to use the Service stops right away. Provisions that should survive termination — like ownership, warranty disclaimers, and liability limits — will survive.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated by email or through the Service. Your continued use after changes means you accept the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts of San Francisco County, California.
16. Miscellaneous
These Terms are the entire agreement between you and Keylight. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a right doesn't waive it.
